Section I · Terms of Engagement
One flat subscription. Every deal you raise.
PPMWizard is priced like a tool you use, not a lawyer you rent by the hour. Draft and preview every offering for free. When the document is ready to send to counsel, subscribe once and export every PPM you draft — PDF, Excel underwriting model, Form D pre-fill, and investor questionnaire — without watermarks or per-deal fees.
Section VI · Terms of Engagement
Free to draft. Pay to export.
Every user gets unlimited drafting and the full wizard, forever. A subscription unlocks downloads — PDF, Excel, Form D, and the investor questionnaire — without the preview watermark.

Section II · What a PPM Usually Costs
$199/month against $5,000 on the low end.
A first-draft PPM engagement with securities counsel typically runs $5,000 to $15,000 for a blank-page draft, and four to six weeks of calendar time. A one-time-purchase Word template runs several hundred to nearly two thousand dollars, and still leaves you copying and pasting into a deal-specific document. PPMWizard is a year-round tool: one subscription, unlimited drafts, across every deal you run.
Attorney first-draft
$5K–$15K
Per PPM. Typically 4–6 weeks of calendar time before first usable draft.
Static Word template
$497–$1,997
Per template. No guided flow, no waterfall math, no asset class or exemption tuning.
PPMWizard Pro
$199/mo
Unlimited PPMs. Same subscription covers every deal, every asset class, every exemption.
Ranges reflect figures commonly reported by syndication sponsors and securities-counsel shops. Your actual counsel bill depends on deal complexity, jurisdiction, and scope.
Section III · What Is and Is Not Included
Honest inclusions and honest exclusions.
No gotchas. Here is exactly what a Pro subscription buys, and what it deliberately does not.
Included
- Unlimited PPM drafts across every asset class and both 506(b) and 506(c) exemptions
- Clean PDF export with no watermark, tuned for print and investor distribution
- Excel underwriting model with waterfall, sensitivity tables, and pro forma
- Form D pre-fill PDF, ready for your counsel to review before EDGAR filing
- Investor questionnaire export for accreditation verification workflows
- 27+ sample offerings across asset classes as starting points
- Distribution waterfall calculator (preferred return, catch-up, promote)
- 16-risk factor library plus custom risk builder
- Sponsor branding, cover themes, and editorial layout
- Priority email support from the team that built it
Not included — and why
Legal advice or attorney review
PPMWizard is a drafting tool, not a law firm. Every PPM still requires review by a qualified securities attorney licensed in your jurisdiction before issuance.
Form D filing on your behalf
We pre-fill the form so your counsel has a clean starting point. Your attorney (or your firm directly) files with the SEC through EDGAR.
Investor portal, CRM, or subscription workflow
We draft the document. Pair PPMWizard with a dedicated investor-management platform for LP onboarding, distributions, and K-1 delivery.
Broker-dealer or placement-agent services
We are not a broker-dealer and do not solicit investors on your behalf. How you market the offering is on you and your counsel.
Section IV · Pricing FAQ
Answers on billing, plans, and what the subscription covers
The questions sponsors ask before they put a card on file.
Q.01What can I do on the free plan?
Create up to 3 drafts, walk through every wizard step, browse all samples, and preview your rendered PPM on-screen. The preview includes a diagonal "DRAFT — Do Not Distribute" watermark so you can self-review or share with co-sponsors. Exports — clean PDF, Excel underwriting model, Form D, and investor questionnaire — unlock with a paid plan.Q.02How does monthly billing work?
Pro Monthly is $199, billed on the same day each month via Stripe. You only pay when you are ready to export — there is no trial gate, you just subscribe when you want a clean PDF. There is no setup fee, no per-PPM charge, and no separate fee per asset class. Cancel from the billing portal any time; your plan runs through the end of the current period.Q.03How does annual billing save $398?
Pro Annual is $1,990 per year, which is the equivalent of roughly $165 per month — a $33/month discount over monthly billing, or $398 across the year. Annual is a single up-front charge on the day you subscribe. If you are confident you will use PPMWizard for at least eight months, annual pays for itself.Q.04Can I cancel any time?
Yes. From the Stripe Customer Portal you can cancel your subscription with a single click. Monthly plans stop at the end of the current billing cycle; annual plans run through the paid term. Your drafts stay on your account forever regardless of subscription state, so if you pause and come back later your work is waiting.Q.05Do you offer refunds?
Fees already paid are not refundable in the general case — the free tier exists specifically so you can validate the product before subscribing. That said, if you hit a situation where the wizard is meaningfully broken for your deal, email support@ppmwizard.com and we will work with you.Q.06Do you offer multi-user or team pricing?
Not yet as a self-serve tier. Today every Pro account is single-seat. If you are a fund manager, sponsor, or broker-dealer with a team of 3+ who each need their own account, email sales@ppmwizard.com and we will build a quote. Enterprise pricing typically includes SSO, shared sponsor libraries, and priority counsel review coordination.Q.07Does attorney review cost extra?
PPMWizard does not bill for or provide attorney review — your PPM still needs to be reviewed by a qualified securities attorney licensed in your jurisdiction before you issue it. Most customers tell us counsel review of a PPMWizard draft takes a fraction of the hours a blank-Word draft would, which is where the real cost savings compound against a $5,000–$15,000 traditional first-draft engagement.Q.08What payment methods do you accept?
All major credit and debit cards via Stripe, including Visa, Mastercard, American Express, and Discover. For annual enterprise invoices, contact sales@ppmwizard.com and we can issue an invoice payable by ACH or wire.
