Single-investment SPV

The venture SPV workflow centers on a portfolio company, security, term sheet, capitalization, and dilution or exit scenarios. It is designed to describe one company investment rather than a discretionary multi-company fund.

Pooled VC fund

The VC fund workflow centers on strategy, portfolio construction, investment committee, fund term, capital calls, and fund-level economics. The fact that a fund currently has only one planned investment does not by itself make it a single-deal SPV.

Entity form, investment mandate, discretion, investor types, and actual holdings matter. Have counsel confirm the structure and applicable securities, investment-company, adviser, and tax questions before relying on a workflow selection.
