Why these questions exist

The legal-classification section collects facts that may affect the issuer’s regulatory treatment. It asks you to identify who invests, what the business holds or does, and which legal questions counsel has reviewed. Its purpose is to preserve unresolved issues for the reviewer.

Use facts, not guesses

Answer using your entity records, investment policy, ownership information, and counsel’s analysis. If a question is uncertain, record the uncertainty and ask counsel. Do not accept a confirmation merely to make a progress indicator turn green.

Before treating the draft as review-ready

Read each flagged issue and resolve it with qualified counsel. A checklist confirmation is an acknowledgment of facts and review needs; it is not evidence of a legal opinion or a substitute for an exemption analysis.
