Product documentation · Version 2.0 · Updated October 1, 2026

Quick checklist

  1. Create an account without a credit card.
  2. Choose the asset class and enter a working name.
  3. Add the basic terms you know; leave unknown values blank.
  4. Create the draft and open its preview.
  5. Use Review to identify the next information to collect.

Before you begin

Have your working offering name, asset class, target raise, minimum investment, and sponsor name nearby. A short description of the opportunity is helpful. You can start while other details are still being decided.

Your first draft is a working document. Missing facts stay missing rather than being invented. A preview or a green progress indicator is not approval to offer or sell securities.

Start small

Choose Start a free draft, create an account with your email and password, and accept the product terms. Choose an offering type, give the draft a name, and enter the basic economics if you know them. The optional fields can wait.

Open the preview after creating the draft. Check the cover, target raise, minimum investment, and offering description. Then work through the document map in the order that suits the information you already have.

Build the detail

Add the issuer, security, and regulatory facts with counsel. Add sponsor and team information, investment strategy, proceeds, fees, conflicts, risks, and subscription instructions. The available sections depend on the offering type.

Use the Review page to find missing sections and issues. Export a working draft for counsel when it is useful to do so. Paid access unlocks downloads; it does not confirm completeness or legal readiness.

A useful first session

Start with the two required choices: the kind of investment and a working name. If you know the target raise, minimum investment, sponsor, and a short investment description, add them now. The draft overview appears next, with the document preview beside it on larger screens. The chapter cards show the next unfilled section in each part of the document.

The new-draft flow supplies provisional entity, security, and exemption defaults so a document can render. Review them in Offering type with counsel. It leaves the formation state blank. A choice supplied by the workflow is not a verified fact about your issuer.

For example, a fictional apartment acquisition might start with a $5,000,000 raise and $50,000 minimum. That only establishes two economics fields. You still need the issuer, acquisition and financing facts, proceeds budget, fees, distribution terms, risks, and legal review. Do not try to make every section green during the first session.

This article explains the product. Qualified securities counsel should review your structure, legal decisions, disclosures, and final documents before use.
