Collect the actual facts
Investor residence, issuer location, offering framework, sale dates, and solicitation activity can affect state analysis. Do not assume a formation state is the only state that matters.
Review suggested text
Notices and legends are drafting suggestions. They need to be matched to the actual transaction and current law. An automatically included legend is not evidence that a state notice was filed or a fee was paid.
Maintain an external filing checklist
Ask counsel to identify jurisdictions, deadlines, fees, amendments, and responsibility. Track the real filings outside the draft. PPMWizard does not file state notices, register securities, or confirm filing compliance.
