Prepare the investment story
Gather production slate, budgets, rights, producers, distribution plan, contracts, and completion arrangements. Identify who owns or controls the asset and which material agreements are still being negotiated. Keep evidence separate from forecasts and state unresolved facts plainly.
Build the economics
Reconcile production and marketing costs, financing, revenues, recoupment, fees, and distributions. Make clear which values are actual, assumed, or contingent. Check that the raise, uses, fees, and distribution terms describe the same plan. Supporting exports vary by workflow; do not assume every asset class has a real-estate-style Excel model.
Review the disclosures
Consider completion, distribution access, uncertain revenues, rights disputes, talent dependence, and incentive eligibility. The suggested risk library is a starting point and needs deal-specific edits. Confirm issuer, security, exemption, investor process, and tax or regulatory statements with the appropriate advisers.
Prepare the review package
Use Review to find missing information, then export a working Word draft for counsel. Provide the underlying agreements, diligence, and model. Replace every fictional sample fact before sharing. A completed workflow is not an approved offering.
Budget production and distribution separately
Collect the actual slate, project budgets, production status, rights and ownership arrangements, key production counterparties, and distribution assumptions. Identify the source of expected revenue and the costs, participation rights, and collection arrangements that affect the amounts available to investors.
Review production timing, overruns, delivery obligations, distribution access, and recoupment order together. Section 181 prompts flag a tax review topic; they do not determine eligibility or guarantee a deduction. Keep unsupported tax and return claims out of the narrative until advisers have confirmed the facts and current treatment.
